Terms and Conditions

These terms govern access to and use of Morphly, including the website, developer platform, APIs, credits, subscriptions and media services.

1. Introduction

These Terms and Conditions constitute a legally binding agreement between you and LUCKY-WEB, trading as Morphly (“Morphly,” “we,” “us,” or “our”).

These Terms govern your access to and use of:

  • morphly.fun;
  • The Morphly Developer Platform;
  • Morphly APIs and API keys;
  • Morphly software and applications;
  • AI video, image, voice and media-processing features;
  • User and administrative dashboards;
  • Subscription plans;
  • Prepaid credits;
  • Referral features;
  • Documentation; and
  • Other products and services provided under the Morphly name.

Collectively, these are referred to as the “Services.”

By creating an account, purchasing credits, starting a subscription, accessing an API key, uploading content, generating content or otherwise using the Services, you confirm that you have read, understood and agreed to these Terms.

Do not access or use the Services if you do not agree to these Terms.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Morphly.

By using the Services, you represent that:

  • You are at least 18 years old;
  • The information you provide is accurate;
  • You are not prohibited from using the Services under applicable law; and
  • You will comply with these Terms and all applicable laws.

Where you use Morphly on behalf of a company, client, organisation or other legal entity, you confirm that you have authority to accept these Terms on its behalf.

In that case, references to “you” include both you and the organisation you represent.

3. Description of the Services

Morphly provides developer tools and AI-powered media services that may include:

  • Real-time AI video or avatar processing;
  • Text-to-video generation;
  • Image-to-video generation;
  • Video-to-video transformation;
  • Voice and audio processing;
  • Image and media processing;
  • Developer APIs;
  • API keys;
  • Usage monitoring;
  • Credit-based billing;
  • Monthly or recurring subscriptions;
  • Account management;
  • Referral programmes;
  • Customer support; and
  • Other AI or developer features introduced in the future.

Some Services may be delivered through third-party AI models, hosting companies, payment processors, database providers or other service providers.

Features, models, prices, processing speeds and availability may change over time.

4. Account registration

You may be required to create an account before accessing certain Services.

You agree to provide accurate, complete and current information during registration and to update that information when necessary.

You are responsible for:

  • Maintaining the confidentiality of your password;
  • Protecting your API keys;
  • Securing devices connected to your account;
  • Restricting access to authorised users;
  • Reviewing activity performed through your account;
  • Keeping your contact information current; and
  • Informing Morphly immediately about suspected unauthorised access.

You must not:

  • Register using false or stolen information;
  • Impersonate another person or organisation;
  • Create accounts through automated scripts;
  • Create multiple accounts to abuse free credits;
  • Create multiple accounts to bypass restrictions;
  • Create self-referrals;
  • Sell, rent or transfer an account without permission; or
  • Allow unrelated individuals to use one account to avoid fees.

Morphly may require additional verification where account activity appears suspicious.

5. Account security

You are responsible for activity performed through your account, password and API keys, except where the activity resulted directly from a security failure within Morphly’s systems.

You must notify Morphly immediately if:

  • Your password has been exposed;
  • Your API key has been exposed;
  • Your account has been accessed without permission;
  • You notice unexplained credit deductions;
  • You notice suspicious API activity; or
  • You believe your account has been compromised.

Morphly may temporarily restrict an account while investigating a security incident.

6. API keys

API keys are confidential credentials.

You must store API keys securely on your backend server or within an appropriate secrets-management system.

You must not:

  • Put a secret API key in public frontend code;
  • Place a secret key in browser-side JavaScript;
  • Commit a key to a public repository;
  • Publish a key in documentation;
  • Send an active key in screenshots;
  • Embed an unrestricted key in a downloadable application;
  • Sell or rent an API key;
  • Share a key publicly; or
  • Use another customer’s API key.

You must revoke and replace a key immediately if it may have been exposed.

Morphly may revoke, rotate, limit or deactivate an API key where:

  • It has been compromised;
  • It is being abused;
  • The account has insufficient credits;
  • The account has an unpaid balance;
  • Usage violates these Terms;
  • Usage threatens platform stability;
  • Fraud is suspected;
  • A legal requirement applies; or
  • A security investigation is necessary.

7. Credits

Some Morphly Services are charged through prepaid credits.

The number of credits required for a request may depend on:

  • Processing duration;
  • Number of generated seconds;
  • Model selected;
  • Resolution;
  • Number of frames;
  • Output length;
  • Processing complexity;
  • Number of requests; or
  • Another usage measurement shown before or during use.

Where displayed for a real-time service, Morphly may deduct two credits per second of processing.

Other Services may use different rates.

The controlling rate will be shown on the pricing page, account dashboard, generation screen, API documentation or API response.

Credits:

  • Are not money;
  • Are not cryptocurrency;
  • Are not legal tender;
  • Cannot be withdrawn as cash;
  • Cannot normally be transferred between unrelated accounts;
  • Have no value outside Morphly;
  • May only be used for eligible Morphly Services; and
  • May expire where an expiration date was clearly disclosed.

Morphly may change the credit cost of future requests. Any new rate applies prospectively and will not change credits already consumed.

8. Free and promotional credits

Morphly may provide free testing credits, promotional credits, referral credits or other rewards.

These credits:

  • Have no cash value;
  • Cannot be withdrawn;
  • Cannot normally be transferred;
  • Are not refundable;
  • May expire;
  • May be limited to one offer per person, business, household, device or payment method;
  • May be subject to additional conditions; and
  • May be removed where obtained through fraud or manipulation.

Morphly may cancel free credits obtained through:

  • Duplicate accounts;
  • Self-referrals;
  • False information;
  • Automated account creation;
  • Payment fraud;
  • Chargebacks;
  • Referral manipulation; or
  • Attempts to bypass promotional restrictions.

9. Referral programme

Morphly may allow users to earn credits by referring new customers.

A referral reward may require the referred person to:

  • Create a valid account;
  • Use the correct referral code;
  • Complete account verification;
  • Complete a qualifying purchase; and
  • Avoid refunding or charging back the qualifying payment.

Referral credits may be delayed while the underlying transaction is reviewed.

A referral reward may be reversed where:

  • The qualifying payment is refunded;
  • A chargeback is filed;
  • The referral was fraudulent;
  • The accounts belong to the same person;
  • The referral involved misleading promotion; or
  • The programme’s conditions were not satisfied.

Morphly may modify or discontinue its referral programme for future referrals.

10. Subscription plans

Morphly may offer monthly, annual or other recurring subscription plans.

Before you purchase a subscription, Morphly will display:

  • The price;
  • The billing period;
  • Included features;
  • Included credits, where applicable;
  • Applicable usage limits;
  • Whether unused credits carry forward;
  • Whether the subscription renews automatically; and
  • Any trial conditions.

By purchasing a recurring subscription, you authorise Morphly and its payment processor to charge your selected payment method at each renewal until you cancel.

You are responsible for cancelling before the next renewal date.

Deleting an application, stopping API usage or abandoning your account does not automatically cancel a subscription.

11. Subscription renewal and cancellation

Subscriptions renew according to the billing frequency displayed at checkout.

You may cancel through your account dashboard where a cancellation feature is available or by contacting:

Cancellation prevents future renewal charges.

Unless applicable law requires otherwise:

  • Cancellation does not reverse a completed renewal;
  • Cancellation does not refund services already delivered;
  • Cancellation does not refund credits already consumed; and
  • You may continue using the paid plan until the end of the current billing period.

Morphly may change future subscription prices. Reasonable notice will be provided before an increased renewal price is charged.

12. Payments

Payments may be processed through Flutterwave or another payment provider displayed at checkout.

By submitting a payment, you confirm that:

  • You are authorised to use the payment method;
  • The billing information is accurate;
  • You authorise the applicable charge; and
  • You will not use stolen or fraudulent payment information.

You may be responsible for:

  • Taxes;
  • Currency-conversion costs;
  • Bank charges;
  • Card issuer charges;
  • Cross-border payment fees; and
  • Other charges imposed by your financial institution.

A payment is not complete until Morphly receives confirmation from the payment provider.

Morphly may delay credit delivery while a transaction is undergoing fraud, compliance, security or chargeback review.

13. Refunds

Refunds, credit restorations and subscription cancellations are governed by the Morphly Refund and Cancellation Policy available at:

morphly.fun/refund-policy

Nothing in these Terms removes a mandatory consumer right that cannot legally be excluded.

14. User Content

“User Content” means any material you submit to Morphly, including:

  • Prompts;
  • Text;
  • Images;
  • Photographs;
  • Videos;
  • Video frames;
  • Audio;
  • Voice recordings;
  • Reference media;
  • Source files;
  • Personal data;
  • Code;
  • Instructions; and
  • Other uploaded information.

You retain any ownership rights you already hold in your User Content.

You grant Morphly a limited, non-exclusive, worldwide licence to host, transmit, copy, process, modify and display User Content only as reasonably necessary to:

  • Provide the requested Service;
  • Process your API request;
  • Generate or transform media;
  • Store projects you request us to store;
  • Operate and secure the platform;
  • Investigate failed requests;
  • Detect fraud or abuse;
  • Provide customer support;
  • Enforce these Terms; and
  • Comply with legal obligations.

This licence ends when the relevant purpose ends, except where continued retention is legally required or reasonably necessary for security, billing, disputes or backups.

15. Responsibility for User Content

You represent and warrant that:

  • You own the User Content or have permission to use it;
  • You have permission to submit it to Morphly;
  • You have obtained all required consents;
  • Processing it will not violate another person’s rights;
  • It does not contain unlawful material; and
  • Its use complies with applicable law.

Uploading another person’s photograph, voice, video or personal data does not automatically mean that you have permission to process it.

You are responsible for obtaining valid permission.

16. Faces, voices and personal likenesses

You must obtain appropriate permission before using another person’s:

  • Face;
  • Voice;
  • Photograph;
  • Video;
  • Personal likeness;
  • Private information; or
  • Other identifying characteristics.

You must not use Morphly to:

  • Impersonate another person for fraud;
  • Create deceptive identity documents;
  • Clone a voice for a scam;
  • Create non-consensual deepfakes;
  • Create non-consensual intimate content;
  • Falsely suggest that a real person made a statement;
  • Harass, blackmail or threaten someone; or
  • Mislead the public about an important event.

Where generated or altered content could reasonably be mistaken for authentic media, you are responsible for clearly disclosing that the content is AI-generated or AI-altered.

17. Generated Output

“Output” means content generated, processed or transformed by Morphly in response to User Content.

As between you and Morphly, and to the extent permitted by applicable law, Morphly does not claim ownership of your Output.

However:

  • Output may not qualify for intellectual-property protection in every country;
  • Output may not be unique;
  • Similar Output may be generated for other users;
  • Output may contain errors;
  • Output may resemble existing content;
  • Output may not be suitable for every intended use;
  • Third-party model conditions may apply; and
  • You are responsible for reviewing Output before using or publishing it.

Morphly does not guarantee that Output is:

  • Factually accurate;
  • Legally cleared;
  • Non-infringing;
  • Unique;
  • Free from bias;
  • Suitable for professional advice; or
  • Suitable for a safety-critical purpose.

18. Prohibited activities

You must not use Morphly to create, upload, transmit, distribute, promote or facilitate:

  • Illegal activities;
  • Fraud;
  • Scams;
  • Phishing;
  • Identity theft;
  • Deceptive impersonation;
  • Forged evidence;
  • False identity documents;
  • Non-consensual intimate content;
  • Sexual content involving minors;
  • Child exploitation or abuse;
  • Harassment;
  • Stalking;
  • Threats;
  • Blackmail;
  • Terrorism or violent extremism;
  • Instructions intended to facilitate serious violence;
  • Malicious software;
  • Credential theft;
  • Unauthorised system access;
  • Copyright infringement;
  • Trademark infringement;
  • Privacy-right violations;
  • Publicity-right violations;
  • Unlawful surveillance;
  • Unauthorised biometric identification;
  • Election deception;
  • Spam;
  • Unsolicited bulk communications;
  • Unlawful disclosure of private information;
  • Attempts to bypass safety systems;
  • Attempts to bypass payment systems;
  • Attempts to manipulate usage records; or
  • Any other activity prohibited by applicable law.

19. High-impact decisions

You must not use Morphly Output as the sole basis for decisions involving:

  • Employment;
  • Credit;
  • Lending;
  • Insurance;
  • Housing;
  • Education admissions;
  • Healthcare;
  • Legal rights;
  • Law enforcement;
  • Immigration;
  • Government benefits; or
  • Access to essential services.

A qualified person must independently review any Output used in a high-impact context.

20. Intellectual property belonging to Morphly

LUCKY-WEB, Morphly and their licensors retain all rights in:

  • The Morphly name;
  • Morphly logos and branding;
  • Website designs;
  • Dashboards;
  • Software;
  • Source code;
  • API documentation;
  • Databases;
  • Workflows;
  • Proprietary models;
  • Algorithms;
  • Interfaces; and
  • Other platform materials.

These Terms provide only a limited, revocable, non-exclusive and non-transferable permission to use the Services.

They do not transfer ownership of the Morphly platform to you.

Except where applicable law expressly permits it, you must not:

  • Copy the platform;
  • Resell raw access without permission;
  • Reverse engineer private systems;
  • Extract proprietary models;
  • Scrape restricted content;
  • Bypass authentication;
  • Reproduce Morphly branding;
  • Misrepresent an affiliation with Morphly; or
  • Create a confusingly similar service using Morphly’s intellectual property.

21. Developer applications

You may use Morphly APIs within your own website, application or software, subject to these Terms and the API Policy.

You remain responsible for:

  • Your application;
  • Your customers;
  • Your privacy notices;
  • Your terms of service;
  • Your security controls;
  • Your customer support;
  • Your pricing;
  • Your legal compliance; and
  • Activity submitted through your API keys.

You must not represent your product as being owned, endorsed or operated by Morphly unless you have written permission.

22. Third-party services

Morphly may rely on third-party providers, including:

  • Supabase for authentication, databases or storage;
  • Flutterwave for payment processing;
  • Resend for transactional emails;
  • Decart or other providers for AI processing;
  • Vercel or other providers for website and application hosting;
  • Analytics providers;
  • Security providers;
  • Error-monitoring services;
  • Cloud storage providers; and
  • Telecommunications providers.

Third-party products may be governed by their own terms and privacy policies.

Morphly is not responsible for a third party’s independent products, decisions, policies or conduct, except where responsibility cannot legally be excluded.

23. Service availability

Morphly does not guarantee uninterrupted or error-free access unless a separate written Service Level Agreement expressly provides such a guarantee.

Services may be delayed, restricted or interrupted because of:

  • Maintenance;
  • Model updates;
  • Third-party outages;
  • Network problems;
  • Hardware failure;
  • Software defects;
  • Capacity limits;
  • Security incidents;
  • Legal requirements;
  • Abuse prevention;
  • Power outages;
  • Internet disruptions; or
  • Events outside reasonable control.

Morphly may introduce queues, rate limits or temporary restrictions to protect platform stability.

24. Beta and experimental features

Some Services may be labelled beta, preview, test or experimental.

These features may:

  • Contain errors;
  • Change without notice;
  • Produce inconsistent results;
  • Have reduced availability;
  • Be discontinued; or
  • Lose test data.

You must not rely on experimental features for safety-critical or mission-critical purposes.

25. Suspension

Morphly may temporarily suspend or restrict an account where reasonably necessary to:

  • Protect platform security;
  • Investigate suspicious activity;
  • Prevent fraud;
  • Address unpaid balances;
  • Stop prohibited content;
  • Respond to a legal request;
  • Prevent harm to another person;
  • Address a serious policy violation; or
  • Protect platform availability.

Where reasonably possible, Morphly will provide the reason for suspension and an opportunity to resolve the issue.

Immediate suspension may occur where delay could cause security, legal, financial or safety harm.

26. Termination

You may stop using Morphly at any time.

You may request account deletion, subject to unresolved billing, security, fraud, legal and record-retention obligations.

Morphly may terminate an account for:

  • Serious or repeated policy violations;
  • Fraud;
  • Illegal activity;
  • Deliberate system abuse;
  • Repeated chargebacks;
  • Non-payment;
  • False account information;
  • Threats to users or infrastructure;
  • Unauthorised resale;
  • Continued prohibited content; or
  • Circumstances where continuing service would violate law.

Termination does not remove obligations or charges incurred before termination.

Unused purchased credits will be handled according to the applicable Refund Policy and mandatory law.

27. Disclaimers

To the maximum extent permitted by law, Morphly is provided on an “as available” basis.

Morphly does not guarantee that:

  • Every request will succeed;
  • Every Output will meet your expectations;
  • Output will be accurate;
  • Output will be unique;
  • Every model will remain available;
  • Processing will occur within a particular time;
  • The Services will work with every device;
  • The Services will work with every third-party application; or
  • The Services will be free from all defects or interruptions.

Nothing in these Terms excludes a warranty or consumer protection that cannot legally be excluded.

28. Limitation of liability

To the maximum extent permitted by law, LUCKY-WEB and Morphly will not be liable for indirect, incidental, special, punitive or consequential losses, including:

  • Loss of profit;
  • Loss of business;
  • Loss of opportunity;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss of data; or
  • Loss resulting from reliance on AI Output.

To the maximum extent permitted by law, Morphly’s total aggregate liability arising from the Services will not exceed the amount you paid to Morphly during the three months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited, including liability resulting from fraud, wilful misconduct or another legally non-excludable matter.

29. Indemnification

Where you use Morphly for business or commercial purposes, you agree to indemnify and hold LUCKY-WEB and Morphly harmless from third-party claims, penalties, damages and reasonable legal costs arising from:

  • Your User Content;
  • Your application;
  • Your customers’ use of your application;
  • Your violation of these Terms;
  • Your infringement of another person’s rights;
  • Your unlawful use of Output;
  • Your failure to obtain required consent; or
  • Your misrepresentation of your relationship with Morphly.

This obligation does not apply to the extent that a claim resulted from Morphly’s own unlawful conduct.

30. Changes to the Services

Morphly may modify, add, remove or discontinue features.

Where a material change affects an active paid subscription, Morphly will take reasonable steps to provide notice or an appropriate alternative where practicable.

Morphly is not required to maintain every model, feature, endpoint or integration indefinitely.

31. Changes to these Terms

Morphly may update these Terms to reflect:

  • New Services;
  • Pricing changes;
  • Legal requirements;
  • Provider requirements;
  • Security requirements;
  • Operational changes; or
  • Policy improvements.

The updated Terms will display a revised effective date.

Material changes may be communicated through the website, dashboard, account email or another reasonable method.

Changes apply prospectively from their stated effective date.

32. Governing law and disputes

Unless mandatory law requires otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Before beginning formal proceedings, you and Morphly agree to attempt in good faith to resolve the dispute through written communication.

Where a dispute cannot be resolved informally, it may be brought before a court with appropriate jurisdiction in Delaware, unless applicable consumer law allows you to bring the matter in another jurisdiction.

Nothing in this section prevents a user from contacting a regulator or exercising a mandatory statutory right.

33. General provisions

If part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

A failure to enforce a provision immediately does not waive the right to enforce it later.

You may not transfer your rights or obligations under these Terms without Morphly’s written permission.

Morphly may transfer these Terms as part of a merger, restructuring, financing, business transfer or sale of relevant assets, subject to applicable law.

These Terms, together with the Privacy Policy, API Policy, Refund Policy and any applicable order form, constitute the agreement concerning your use of Morphly.
